Terms of Service

Welcome to nnyyxx (the “Service”), operated by nnyyxx LLC (“nnyyxx,” “we,” “us,” “our”). These Terms of Service (the “Terms”) are an agreement between you and nnyyxx LLC and govern your use of and access to our website, services, and applications. By accessing or using nnyyxx, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.

1. Eligibility

  • Age Requirement: You must be 18 years of age or older to use this Service. By using nnyyxx, you represent and warrant that you meet this age requirement.
  • Location: The Service is operated from California in the United States. Use of the Service is void where prohibited.

2. User Accounts

  1. Account Creation: To access certain features of nnyyxx, you may be required to create a user account. You agree to provide accurate and complete information and to keep your account information updated.
  2. Security: You are responsible for maintaining the confidentiality of your account credentials. You can end every session with the “log out all other devices” setting under “more options” on the logout screen, and sign out individual devices using the nnyyxx app from app sessions in your security settings.
  3. Passwords: Never reuse your nnyyxx password on any other site, and keep it in a password manager protected by two-factor authentication. Never enter your nnyyxx password on any website other than nyx.now. Signing in to nnyyxx always happens on nyx.now, and we will never ask for your password anywhere else on the web.
  4. Connected Apps: Apps you authorize can act on your account within the permissions you grant them, and you are responsible for what they do on your behalf. Only authorize apps you trust, keep your personal API token as private as your password, and review or revoke access anytime in connected apps.
  5. Account Responsibility: You are responsible for all activities that occur under your account. nnyyxx is not liable for any loss or damage arising from your failure to comply with this section.

3. Acceptable Use

By using nnyyxx, you agree not to:

  • Violate any applicable federal, state, local, or international law or regulation;
  • Post or share any content that is illegal, harmful, harassing, defamatory, abusive, obscene, threatening, or discriminatory;
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity;
  • Use automated means (e.g., bots, scrapers) to access or use the Service. AI companies that would like to train on nnyyxx must license our AI scraping service, starting at $1,000,000,000,000 per day; inquire here;
  • Interfere with or disrupt the Service, servers, or networks connected to the Service;
  • Engage in any activity that would violate the rights of others, including intellectual property rights, privacy rights, or publicity rights.

Adult Content: Sexual or explicit content is allowed only when it is marked sensitive, everyone shown in it is 18 or older and agreed to it being made and shared, and it is not monetized: it may not be sold, offered to paid subscribers, or used to sell tickets. Sexual content involving anyone under 18, and intimate images shared without the consent of the person shown, are never allowed.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this section, including reporting such violation to law enforcement authorities.

4. User Content

  1. Ownership: You retain ownership of any content (text, images, audio, video, etc.) you post or share on nnyyxx (collectively, “User Content”).
  2. License to nnyyxx: By posting or sharing User Content on nnyyxx, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform your User Content in connection with the operation of the Service. This license continues for copies of your User Content that other users have reposted or quoted, even after you delete it or your account.
  3. Content Restrictions: You represent and warrant that:
    • You own or have the necessary licenses, rights, or permissions to post your User Content;
    • Your User Content does not violate any laws or infringe any third-party rights.
  4. Removal Requests: If someone shared an intimate image of you without your consent, you can ask us to remove it with our removal request form, and we act on valid requests within 48 hours. A person reviews every request before anything is removed. A request that is false or made in bad faith, such as one meant to take down someone else's own work, violates these Terms: we refuse it, may stop accepting requests from you, and may suspend your account. If content you posted is removed in response to a request, we tell you by email, and you can contest the removal by replying.
  5. Child Safety Reports: If you are shown in sexual imagery made when you were under 18, you, or someone authorized to act for you, can report it with our child safety report form, with or without an account. A person reviews every report, the confirmation page gives you a reference number for it, and we report child sexual abuse material to the National Center for Missing & Exploited Children as the law requires.

5. Intellectual Property

  1. nnyyxx Intellectual Property: All rights, title, and interest in and to the Service, including any software, text, media, scripts, graphics, logos, designs, trademarks, and service marks (excluding User Content) are owned or licensed by nnyyxx. You agree not to use, reproduce, distribute, or create derivative works without our express written permission.
  2. Feedback: Any suggestions, comments, or feedback you provide about the Service may be used by us without any obligation to you.
  3. Copyright Complaints (DMCA): We respond to notices of claimed copyright infringement that meet the requirements of the Digital Millennium Copyright Act. Send a notice through our DMCA form or to our designated agent: Copyright Agent, nnyyxx LLC, 2108 N St, Ste 18024, Sacramento, CA 95816, USA; phone (530) 232-9456; email [email protected]. If we remove your content in response to a notice, we tell you, and you may send a counter-notice through our counter-notice form.
  4. Repeat Infringers: We record each valid copyright notice against the account that posted the content. In appropriate circumstances we terminate the accounts of users who repeatedly infringe copyrights, and we may remove content or suspend an account before that point.

6. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and share information about you. The Privacy Policy describes our practices and is not part of these Terms.

7. Termination

  1. Termination by You: You may delete your account and stop using the Service at any time. Deleting your account cancels your obsidian subscription and refunds the unused part of its current billing period. Subscriptions you hold to vessels end when your account is deleted and are not refunded.
  2. Termination by Us: We may suspend, close, cancel, or ban any account, and suspend or terminate your access to the Service, at any time, for any reason or no reason, at our sole discretion, with or without notice. If we close, cancel, or ban an account with an obsidian subscription, we refund the unused part of its current billing period. Subscriptions an account holds to vessels are cancelled without a refund. If a payment for an obsidian subscription is disputed with the bank or card issuer, we end that subscription at once without any further refund, and we may refuse new purchases from the account while a dispute is open or after it is lost.
  3. Effects of Termination: Upon termination of your account, your right to access the Service and any content stored on the Service will immediately cease. We are not liable for any loss or deletion of your User Content upon termination.

8. Custom Domains

  1. Connecting a Domain: Vessel owners with a paid subscription may connect a domain they own. The owner is responsible for keeping that domain registered and pointed at nnyyxx, must use it (or the subdomain configured with us) only to serve their vessel through nnyyxx, and is responsible for anything served from it that does not come from nnyyxx. We may disconnect a custom domain at any time.
  1. The Seller: A vessel owner whose vessel is approved for payments is the seller and merchant of record for what it sells: tickets to its events and, if the owner enables them, paid subscriptions. nnyyxx provides the storefront, sets up a payment account in the owner's name with our payment processor, and operates that account on the owner's behalf; the owner cannot charge buyers or subscribers from it themselves. The payment processor's own agreement and fees apply to the owner.
  2. Our Share: nnyyxx keeps a share of every payment as its fee (currently 10%). We may change that share or the available subscription price tiers with notice; a change applies to new subscriptions and new ticket sales.
  3. Taxes: Taxes on what an owner earns through payments, including sales tax and VAT where they apply, are the owner's responsibility. nnyyxx does not collect tax on the owner's behalf and does not issue tax forms; the payment processor issues any form the owner is owed.
  4. Refunds and Disputes: nnyyxx handles refund requests and payment disputes on the owner's behalf and may refund a buyer or subscriber or concede a dispute at its discretion, in good faith. The owner agrees, when applying, to abide by nnyyxx's decisions on refunds and disputes, which are final as between nnyyxx and the owner; the payment processor's and the card networks' own rules and rulings apply regardless. A refunded or disputed payment, and any fee the payment processor charges for it, is taken from the owner's payment account.
  5. Eligibility: Payments may be enabled only after our approval, only from the countries our payment processor can pay out to, and never for content the owner attested the vessel does not publish. Paid subscriptions and ticket sales are each optional. We may withdraw approval at any time; subscribers are then refunded from the owner's payment account, new ticket sales stop, and tickets already sold remain valid.
  6. Payout Holds: We may hold payouts from an owner's payment account while we review it, for example after a ban, a withdrawal of approval, or suspected fraud, so that refunds and disputes can be paid from its balance. Subscribers are still charged during a hold; the money stays in the owner's balance and is paid out once we release the hold. A hold cannot stop a payout the payment processor has already started.
  7. Mobile Purchases: A subscription bought inside a mobile app is also subject to that app store's terms and fees, which the store deducts before anything reaches nnyyxx or the owner.
  8. Subscribers: A subscriber may cancel at any time and keeps access to the subscribed content until the end of the period they paid for. A subscription also ends, without a refund, when the subscriber deletes their account or disputes its payment with their bank or card issuer. The price and these terms are shown before payment.
  9. Subscriber Details: A vessel owner receives only the email or mailing address a paid subscriber agrees to share, for that vessel's own communications with its subscribers. Sharing is disclosed before payment. A request enabled later requires existing subscribers to opt in. A subscriber may withdraw either sharing choice in billing settings at any time; an owner may use these details for no other purpose and may not pass them on.
  10. Event Tickets: A vessel approved for payments may sell tickets to its events, with or without offering paid subscriptions. The vessel owner is the seller of those tickets on the same terms as subscriptions: the same payment account, the same share for nnyyxx, and the same handling of refunds and disputes. Each event states its refund policy before purchase; the owner may refund any ticket, and cancelling or deleting an event refunds its tickets. Buyers share their email and the vessel they attend as with the event's host, for that event only. A buyer may transfer a ticket to another account, while the payment and any refund stay with the buyer. A ticket is cancelled, without a refund, when its buyer disputes the payment.
  11. Automatic Renewal: nnyyxx obsidian and paid vessel subscriptions renew automatically at the end of each billing period (monthly or yearly), at the price and interval shown when you subscribe, until you cancel. You agree to these renewal terms when you subscribe. You can cancel at any time in your billing settings; cancelling stops the next renewal, and you keep access until the end of the period you paid for. We email you a confirmation when you subscribe, and a reminder before each yearly renewal. If a subscription begins with free time (for example from an obsidian code), billing starts when that time ends; when the free time is longer than a month, we remind you before the first charge.

10. Disclaimers

  1. Use at Your Own Risk: Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis.
  2. No Warranties: We disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
  3. Third-Party Content: The Service may include links or references to third-party websites, services, or products that are not under our control. We are not responsible or liable for the content, privacy policies, or practices of any third parties.

11. Limitation of Liability

To the maximum extent permitted by law, in no event will nnyyxx, its officers, directors, employees, or agents be liable for any indirect, incidental, special, punitive, or consequential damages, or any loss of profits, revenues, data, or goodwill, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages. Nothing in these Terms limits any liability that cannot be limited under California law.

12. Indemnification

You agree to defend, indemnify, and hold harmless nnyyxx, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and costs) arising out of or in any way connected with:

  • Your access to or use of the Service;
  • Your violation of these Terms;
  • Your User Content; or
  • Your violation of any law or the rights of a third party.

13. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of California and the federal laws of the United States, without regard to conflict of law principles. Any claim or legal action arising out of or relating to these Terms or the Service must be brought exclusively in the state or federal courts located in California, and you consent to personal jurisdiction and venue in those courts. Either party may instead bring an eligible claim in small claims court. Before filing a claim, you agree to contact us first through our contact form and give us 30 days to try to resolve it informally.

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes, we will provide notice by updating the “Last Updated” date above or by notifying you through the Service. Your continued use of nnyyxx after the changes become effective indicates your acceptance of the revised Terms.

15. Miscellaneous

  1. Entire Agreement: These Terms and the policies they reference, other than the Privacy Policy, constitute the entire agreement between you and nnyyxx regarding the Service.
  2. Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be deemed severed and will not affect the validity and enforceability of the remaining provisions.
  3. No Waiver: Our failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision.

Legal Process: Law enforcement and other legal requests go to [email protected] with “legal process” in the subject. We preserve account records when we receive a valid preservation request, and we disclose the contents of an account only as the law requires or permits, for example under a search warrant or in an emergency involving danger of death or serious injury.
